Bpo Service Agreement
This agreement is signed between Cloudspace Services (hereinafter called "Cloudspace") and all registered customers who use our services (hereafter referred to as "customer") and regulates the agreements by which Cloudspace will allow the customer to access BPO staff dedicated to the Philippines. 9.1 Cloudspace gives permission to the customer and charges the customer a fee for the RAS software access service and its use from time to time. 9.2 The remote platform software used is left to Cloudspace`s discretion. 9.3 Remote platform software requires some minimum hardware specifications for operation and cannot work if minimum hardware specifications are not met. Cloudspace occasionally defines minimum hardware specifications. 9.4 Cloudspace is not liable for losses and damage suffered by the customer if: a) the customer, for one reason or another, cannot access the remote platform software and/or b) the remote platform software cannot be exploited for any reason: (d) violates this agreement; or (e) be held liable for a failure or delay in the performance of CloudSpace`s obligations under this contract; to the extent that such a failure or delay is caused in whole or in part, directly or indirectly by a force majeure event or by an act or omission of The Customer 2.6 Service Report If the Customer does not pay the fees under this Agreement without limiting other available remedies, Cloudspace may defer the delivery of all Services or prevent the Customer from accessing the Services (or both) until the remaining fees are paid. Additional services are IT support services or Voip services listed in Annexure Business Day, a day that is not a Saturday, Sunday or public holiday in Brisbane, Queensland. Cloudspace 8.1 If the customer or a related corporate body offers a direct (temporary or permanent) job offer to a cloudspace service provider that performs a task for the customer (or who has completed a task for the customer in the past 12 months) accepted by the Cloudspace service provider, he must pay AUD 10,000.00 plus GST for each cloudspace service provider employed by the customer. 8.2 At the end of this contract, the client or a related entity may only make a contract offer, permanent hiring or other contracts to a cloudspace service provider performing a transfer to the customer (or who has made a transfer to the customer in the previous 12 months) within 12 months of the end of this contract. 8.3 The client cannot offer directly to friends, family, staff, recommendations or the network of a cloudspace service provider without cloudspace`s participation and agreement, a contract, contract, project or indeterminate contract.
